1. General Provisions

1.1. This document is an official public offer made by the Contractor to provide digital services to individuals and legal entities (hereinafter referred to as the "Client") under the terms outlined below.

1.2. This offer is published on the website develop42.com and is considered legally binding in accordance with the laws of the State of Israel.

1.3. The Client accepts (agrees to) the terms of this offer by submitting a request, making payment, or otherwise confirming the intention to use the Contractor’s services. Upon acceptance, this agreement is deemed concluded without the need for signing a separate document.

2. Subject of the Agreement

2.1. The Contractor agrees to provide the Client with professional services in the areas of:

Graphic design and branding
Digital marketing and advertising
Other related services, as agreed individually

2.2. The specific scope, deadlines, deliverables, and pricing are discussed and confirmed individually via email, online forms, messaging platforms, or other communication channels.

3. Rights and Obligations

3.1. The Contractor undertakes to:

Deliver the agreed services in a professional and timely manner.
Provide work results in the agreed format.
Maintain confidentiality of all materials and information received from the Client.

3.2. The Clien undertakes to:

Provide all necessary information, access, and materials required for the work.
Pay for services on time and in full.
Respect the Contractor’s intellectual property and not use delivered work beyond the agreed scope without permission.

4. Payment Terms

4.1. Service fees are determined individually and confirmed through a quote, invoice, or written agreement.

4.3. Work may begin only after full or partial prepayment, as agreed.

5. Liability

5.1. Both parties are responsible for fulfilling their obligations as per this agreement and under applicable Israeli law.

5.2. The Contractor is not liable for any indirect or consequential damages resulting from the Client’s use or misuse of delivered services.

6. Force Majeure

6.1. The parties are released from liability for failure to perform obligations due to force majeure events beyond their control (e.g. war, natural disasters, government restrictions, or technical failures).

7. Governing Law and Dispute Resolution

7.1. This Agreement is governed by and interpreted in accordance with the laws of the State of Israel.

7.2. Any disputes arising out of or in connection with this Agreement shall be settled through negotiation. If no agreement is reached, the dispute shall be resolved in a competent court located in Israel.

8. Final Provisions

8.1. This Offer Agreement enters into force from the moment the Client accepts its terms.

8.2. The Contractor reserves the right to amend the content of this offer at any time. The updated version will be published on develop42.com.
